Terms of Service

These terms govern access to the Orbital intelligence platform (the "Service") provided by [LEGAL ENTITY], trading as Orbital Risk Intelligence ("Orbital", "we"), to the subscribing organisation (the "Client") and its authorised users. They take effect on [EFFECTIVE DATE]. By logging in, each user accepts them.

1. The Service

The Service provides maritime and energy security intelligence: a live incident stream, regional risk assessments ("Situations") with Orbital risk ratings, email alerts and downloadable reports. Orbital may change, add or withdraw features, sources or regions. We will give reasonable notice of any change that materially reduces the Service.

2. Accounts and access

  1. Orbital creates accounts for named users nominated by the Client. Accounts are personal and must not be shared.
  2. Users must keep login details confidential and tell us promptly at intelligence@orbitalriskintelligence.com of any suspected misuse.
  3. We may suspend an account to protect the Service, the Client or other clients, and will tell the Client why unless the law prevents it.

3. Permitted use

  1. The Client may use the Service and its content for its internal business purposes, including sharing extracts with its own employees, vessel masters, crews and professional advisers who need them for operational or risk decisions.
  2. The Client must not resell, republish, redistribute or make the Service or substantial parts of its content available to third parties, or use it to build a competing product, without our written consent.
  3. Users must not attempt to bypass security, scrape the Service at volume, or interfere with its operation.

4. Intellectual property

Orbital, or its licensors, own all rights in the Service, its content, ratings and reports. The Client receives a non-exclusive, non-transferable licence to use them under these terms for the subscription period. Each report carries its distribution marking, which the Client must respect.

5. Fees

Fees, the subscription period and payment terms are set out in the Client's order form or proposal. Where the Service is provided as a free pilot, no fees apply for the pilot period, and either party may end the pilot at any time.

6. Nature of the intelligence and liability

  1. The Service is intelligence and risk information, not a guarantee of safety, and is subject to the Disclaimer, which forms part of these terms.
  2. Orbital is not liable for any loss of profit, revenue, business, cargo, charter or hire, or for any indirect or consequential loss, arising from use of or reliance on the Service.
  3. Orbital's total liability under these terms in any 12-month period is limited to the fees paid by the Client for the Service in that period (or USD 1,000 during a free pilot).
  4. Nothing in these terms limits liability that cannot be limited by law, including for fraud.

7. Confidentiality

Each party will keep the other's confidential information confidential and use it only for the purposes of this agreement. Orbital treats the Client's identity, vessels, routes and any information the Client provides about its operations as confidential.

8. Term and termination

The subscription runs for the period in the order form. Either party may terminate on 30 days' written notice, or immediately if the other materially breaches these terms and does not remedy the breach within 14 days of notice. On termination, access ends and the licence in section 4 ends, except for reports already downloaded for internal records.

9. Changes to these terms

We may update these terms. We will notify users at least 30 days before a material change takes effect. Continued use after that date is acceptance.

10. Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute.
